Terms of Use for Lylac Platform

These Terms of Use ("Terms") govern your access to and use of the Lylac Platform provided by Lylac Network Limited ("Lylac," "we," "us," or "our"). By accessing or using the Lylac Platform, you agree to be bound by these Terms.

1. Use of the Lylac Platform

1.1 Eligibility: You must be at least 13 years old to use the Lylac Platform. If you are accessing or using the Lylac Platform on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms.

1.2 License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Lylac Platform for your personal or internal business purposes.

1.3 Prohibited Conduct: You agree not to engage in any of the following prohibited activities:

- Violating any applicable law or regulation.

- Interfering with or disrupting the Lylac Platform or servers or networks connected to the Lylac Platform.

- Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

- Collecting or harvesting any personally identifiable information from the Lylac Platform.

- Using the Lylac Platform for any illegal or unauthorized purpose.

2. User Content

2.1 User Content: You are solely responsible for any content you post, upload, or otherwise make available on the Lylac Platform ("User Content"). By submitting User Content, you grant Lylac a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Lylac Platform.

2.1 Usage Restriction: Users are prohibited, directly or indirectly, from engaging in the following activities: (i) reverse engineering, disassembling, decompiling, or attempting to discover the source code or underlying algorithms of any part of the Service (except where such restrictions on reverse engineering are prohibited by applicable local law); (ii) modifying or creating derivatives of any part of the Service; (iii) renting, leasing, or using the Service for timesharing or service bureau purposes; or (iv) removing or obscuring any proprietary notices on the Service. 3. Intellectual Property

3.1 Ownership: All intellectual property rights in the Lylac Platform and its content, including but not limited to text, graphics, logos, and images, are owned by or licensed to Lylac. You may not use, reproduce, or distribute any content from the Lylac Platform without our prior written consent.

3.2 Limited License and Restrictions on Use of Content: The user acknowledges that the Lylac Platform contains content, information, and materials provided by Lylac or its partners or providers, and that such content is protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws. Without explicit written authorisation from Lylac, the user agrees not to engage in the following activities: selling, licensing, renting, modifying, distributing, copying, reproducing, transmitting, publicly displaying, publicly performing, publishing, adapting, editing, or creating derivative works from such content. However, Lylac grants the user a limited, revocable, non-sublicensable license to view such content (excluding any software code) for the user's own, personal, non-commercial purposes, provided that the user retains all copyright and other proprietary notices contained therein. Reproducing, copying, or distributing any such content for any other purpose is strictly prohibited without the express prior written permission of Lylac. Specifically, the user agrees not to provide (including by display) such content in a public manner or otherwise to any third party.

3.3 Trademarks: "Lylac" and the Lylac logo are trademarks of Lylac Network Limited. You may not use these trademarks without our prior written permission.

4. Privacy

4.1 Privacy Policy: Your use of the Lylac Platform is subject to our Privacy Policy, which explains how we collect, use, and disclose your personal information. By using the Lylac Platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

5. Termination

5.1 Termination by Lylac: We may suspend or terminate your access to the Lylac Platform at any time and for any reason, without notice or liability.

5.2 Termination by User: You may stop using the Lylac Platform at any time by discontinuing your access to the platform.

6. Disclaimer of Warranties

6.1 No Warranties: The Lylac Platform is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We do not warrant that the Lylac Platform will be uninterrupted or error-free, or that any defects will be corrected.

7. Limitation of Liability

7.1 Limitation of Liability: In no event shall Lylac Network Limited, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, arising out of or in connection with your use of the Lylac Platform.

7.2 User Responsibilities and Resolution of Disputes: Users bear sole responsibility for their interactions with other users of the Service. While Lylac reserves the prerogative to oversee disputes among users, it carries no obligatory duty to do so. In cases of dispute between a user and one or more other users of the Service, the user hereby absolves Lylac (inclusive of its officers, directors, agents, subsidiaries, joint ventures, and employees) from any claims, demands, and damages (actual and consequential) of all kinds and natures, whether known or unknown, arising from or in connection with such disputes."

8. Governing Law and Jurisdiction

8.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales.

8.2 Jurisdiction: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to these Terms

9.1 Changes: We may revise these Terms from time to time. The most current version of the Terms will govern your use of the Lylac Platform and will be available on the Lylac Platform. If we make material changes to these Terms, we will notify you by email or by posting a notice on the Lylac Platform prior to the change becoming effective.
